These Terms of Service ("Terms") govern your access to and use of the Perpetuity intelligence platform ("Service") operated by Perpetuity. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

By creating an account or otherwise accessing the Service, you confirm that you are authorised to enter into these Terms on behalf of yourself or the organisation you represent. If you are using the Service on behalf of a company or other entity, you represent that you have the authority to bind that entity to these Terms.
We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. We will notify registered users of material changes by email or in-app notification.
Perpetuity is a B2B intelligence platform that connects to your existing business tools — including email, calendar, documents, and contacts — and uses AI to continuously monitor opportunities, markets, and communications relevant to your commercial operations. The Service is intended for commercial and professional use. We reserve the right to modify or discontinue features with reasonable notice to registered users.
Access to the Service requires a user account created via Google Sign-In. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must notify us promptly at gyurovik@gmail.com if you become aware of any unauthorised access.
You must not create accounts on behalf of others without their permission, share your account credentials, or use the Service for any unlawful purpose.
By using the Service, you agree that you will not:
You are responsible for ensuring that your use of the Service, including any outreach you send through it, complies with all applicable laws and regulations in your jurisdiction.
The Service integrates with Google APIs to access your Gmail, Google Calendar, Google Drive, Google Contacts, and Google Sheets data. By connecting your Google account, you authorise us to request the OAuth scopes described in our Privacy Policy.
Your use of Google's services through our integration is also subject to Google's Terms of Service and Privacy Policy. We operate in compliance with the Google API Services User Data Policy, including its Limited Use requirements. We will only use your Google data to provide the Service to you and will not sell, transfer, or use it for any other purpose.
We will only send emails or take actions in Google Workspace on your explicit instruction — for example, when you approve a draft in the platform. We will never send communications or modify your data autonomously without your review and approval of the specific action.
Perpetuity retains all rights to the Service, its codebase, interface, and any proprietary intelligence models and algorithms. Nothing in these Terms grants you ownership of any part of the Service.
You retain ownership of all data you provide to the Service, including the contents of your connected Google Workspace accounts. By using the Service, you grant Perpetuity a limited, non-exclusive licence to access, process, and store that data solely as necessary to provide the Service to you.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:
Intelligence outputs are provided for informational purposes. You are responsible for verifying any information before acting on it, including any outreach you send, compliance advice, or commercial decisions you make based on Service outputs.
To the maximum extent permitted by applicable law, Perpetuity's total liability to you for any claim arising under or in connection with these Terms or the Service shall not exceed the total fees paid by you to Perpetuity in the twelve months preceding the claim.
In no event shall Perpetuity be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, data, or business opportunity — arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Nothing in these Terms limits liability that cannot be excluded or limited by applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
You may stop using the Service and delete your account at any time. We reserve the right to suspend or terminate your account if you materially breach these Terms or if we determine that continued access presents a risk to the Service or to other users, with or without prior notice depending on the severity of the breach.
Upon termination, your right to access the Service ceases immediately. We will retain and delete your data in accordance with our Privacy Policy.
We reserve the right to modify, add, or remove features of the Service at any time. We will provide reasonable notice to active users of changes that materially affect their use of the platform.

Any dispute arising out of or in connection with these Terms shall be resolved in good faith between the parties. If resolution cannot be reached, disputes shall be subject to the jurisdiction specified above.
